WallyPilot Terms of Service

These Terms of Service (the "Terms") are a binding agreement between Polygon Capital LLC d/b/a WallyPilot ("WallyPilot," "we," "us," or "our") and the individual or entity who creates an account or uses the Services ("you"). These Terms govern your access to and use of WallyPilot's website, software, and related services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Who we are & how to contact us

2) Eligibility & accounts
You must be 18+ and able to form a contract to use the Services.
If you register on behalf of a company, you represent that you have authority to bind that company.
You are responsible for account security, including keeping credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use.
3) License & restrictions
We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services during your subscription.
You agree not to:
- copy, modify, translate, or create derivative works of the Services;
- reverse engineer, decompile, or attempt to extract source code (except to the extent such restriction is prohibited by law);
- use the Services to build a competing product or benchmark non‑public features;
- circumvent or interfere with security, rate limits, or access controls;
- upload unlawful, infringing, or harmful content;
- misuse third‑party platforms (e.g., Walmart Connect) in violation of their terms.
We reserve all rights not expressly granted.
4) Plans, trials, billing & taxes
Trials. We may offer a 14‑day free trial (no credit card required). Trial limits and available features are described at signup. We may modify or cancel trials at any time.
Subscriptions. Plans (e.g., Basic, Advanced, Enterprise, Enterprise 500) are billed monthly or yearly in USD via Stripe. Yearly plans include a 20% discount. You can upgrade or downgrade at any time; charges are prorated. Enterprise 500 may be eligible for invoicing.
Renewals. Subscriptions auto‑renew at the end of each term unless you cancel before renewal.
Taxes. Fees are exclusive of taxes (e.g., sales/VAT/GST). You are responsible for applicable taxes, duties, and government charges.
Refunds. Unless required by law, fees are non‑refundable and we do not provide credits for partial periods. When you cancel, service continues through the end of the current term.
5) Feature scope & beta features
Rank tracking & research. Keyword rank tracking and keyword research are available without Walmart Connect access.
Automations (planned). Ad automation features (e.g., bidding/budget rules, keyword harvesting) require Walmart Connect/API access and may not be available in all regions. Timelines and availability are not guaranteed.
Beta/preview. From time to time, we may offer beta or experimental features. Beta features are provided AS IS and may be modified or discontinued.
6) Estimates & data sources (important)
Metrics such as Opportunity Score, estimated CPC, search volume, keyword difficulty, and modeled rank/intent signals are estimates derived from third‑party signals and WallyPilot algorithms. They are directional and not official Walmart data. Use them as decision support, not absolute facts.
We are not affiliated with or endorsed by Walmart. "Walmart," "Walmart Connect," and related marks belong to their respective owners.
7) Integrations & third‑party services
You may choose to connect third‑party accounts (e.g., Walmart Connect) to the Services. You authorize us to access and process data from those services as necessary to provide features you enable. Your use of third‑party services is governed by their terms and privacy policies. We are not responsible for third‑party services.
Payments are processed by Stripe. We do not store full credit card numbers.
8) Your content & data rights
Your content. You own the keywords, product identifiers, and other content you upload. You grant WallyPilot a worldwide, non‑exclusive, royalty‑free license to host, process, and display that content solely to provide and improve the Services.
Usage data. We may collect and use aggregated or de‑identified usage data (e.g., feature usage, performance metrics) to operate, analyze, and improve the Services. We will not disclose such data in a form that identifies you.
Privacy. Our Privacy Policy forms part of these Terms and describes how we collect and use personal information.
9) Fair use & rate limits
To protect stability, we may apply rate limits or fair‑use thresholds (e.g., for research tickets, bulk exports, or API calls). Attempting to bypass rate limits may result in suspension.
10) Service availability & support
We strive for high availability but the Services may be interrupted for maintenance, updates, outages, or events beyond our control. Features may vary by region. Support is provided on a commercially reasonable basis via email.
11) Termination & suspension
You may cancel at any time in Billing Manager. We may suspend or terminate your access immediately if you materially breach these Terms (e.g., security abuse, illegal activity) or if required by law or a platform provider (e.g., Walmart). Upon termination, your license ends and we may delete your data per our retention schedule.
12) Intellectual property
The Services (including software, UI, designs, logos, and documentation) are owned by WallyPilot and its licensors, and are protected by intellectual property laws. These Terms do not transfer any IP rights except the limited license above.
Feedback. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction.
13) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE, UNINTERRUPTED, OR THAT RESULTS WILL MEET YOUR REQUIREMENTS.
14) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALLYPILOT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply to the fullest extent permitted by law.
15) Indemnification
You agree to defend, indemnify, and hold harmless WallyPilot and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your: (a) use of the Services, (b) violation of these Terms, (c) violation of law or third‑party rights, or (d) misuse of third‑party platforms via the Services.
16) Compliance
You are responsible for complying with applicable laws, platform rules, and category restrictions (e.g., advertising policies). You warrant that you are not located in a country embargoed by the United States and are not on any U.S. government restricted list.
17) Export controls
The Services may be subject to U.S. export control laws. You agree not to export, re‑export, or transfer the Services in violation of such laws.
18) Governing law & venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wake County, North Carolina.
19) Changes to the Services or Terms
We may modify the Services or these Terms from time to time. If we make material changes, we will provide notice (e.g., email or in‑app). The updated Terms will state the effective date. Your continued use after changes take effect constitutes acceptance.
20) General
Entire agreement. These Terms (including the Privacy Policy and any order form) are the entire agreement between you and WallyPilot regarding the Services.
Severability. If any provision is unenforceable, the remainder remains in effect.
Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for delays or failure due to causes beyond our reasonable control.
Notices. We may provide notices by email, in‑app, or by posting on our site.
